The accountability, human-review, data-use, capacity, and reliability terms that apply to OperalonOS AI features.
1. Scope and Customer control
These AI Product Terms apply whenever the Customer uses a feature that generates, classifies, summarizes, recommends, routes, predicts, automates, or otherwise processes information using machine-learning or generative-AI technology.
- The Customer controls which Input is submitted and which data sources and integrations are connected.
- The Customer controls which workflows are enabled and which users receive Output.
- The Customer decides whether Output is accepted, edited, published, acted upon, or permitted to trigger an external action.
- The Customer is responsible for the legality and appropriateness of its instructions and decisions.
2. Probabilistic nature and human oversight
Output is not legal, tax, accounting, medical, employment, credit, security, or other regulated professional advice. Human oversight must be proportionate to consequence, and required review controls must not be disabled where error could cause material harm, law requires review, a decision materially affects an individual, or Documentation requires approval.
3. External actions and automations
- The Customer must configure appropriate permissions and approval thresholds.
- Nightvault may require confirmation for higher-risk actions.
- The Customer is responsible for actions it approves.
- Nightvault may block or pause an action appearing unauthorized, dangerous, or inconsistent with the Agreement.
- Audit records may be preserved for security and accountability.
4. Input and Output rights
The Customer represents that it has all rights, consents, and lawful bases necessary to submit Input and instruct its processing. It must not submit content that violates law, third-party rights, or the Agreement.
As between Nightvault and the Customer, and subject to applicable law and third-party rights, Nightvault assigns to the Customer any rights Nightvault may hold in Output generated solely for that Customer. This does not transfer OperalonOS or model rights, third-party rights, another customer’s content, rights that cannot legally exist or be assigned, or Nightvault generic technology, templates, methods, and know-how.
Nightvault does not guarantee Output is copyrightable, exclusive, non-infringing, or unique. Another user may receive similar or identical Output; similarity alone does not mean Customer Content was disclosed.
5. Providers, training, and retention
Nightvault may use configured third-party AI model and infrastructure providers as subprocessors and transmit the Customer Content selected and reasonably required for the requested operation, subject to the DPA and current Provider Notice. Providers or models may change for security, availability, quality, legal, or commercial reasons.
Nightvault may use feedback, synthetic data, lawfully obtained public or licensed data, and aggregated or de-identified Service Data to evaluate, secure, and improve the Services without identifying or re-identifying a Customer or individual. No zero-retention or equivalent provider control is promised unless verified for the specific production organization, endpoint, feature, and configuration.
6. Capacity and model changes
AI Capacity is denominated in AI Credits. Standard customer actions ordinarily use one AI Credit, configured automations two, and analysis or report workloads four. A documented operation-specific override may apply from one to 100 Credits when needed for a materially different workload, but raw provider token counts remain cost telemetry rather than Customer Credits. The effective Schedule and customer-visible usage records control. Capacity is not money, stored value, or a transferable asset.
Nightvault may update or replace models and controls as providers and requirements evolve. It will not intentionally make a material adverse reduction to core paid functionality during a current Billing Period without a substantially equivalent alternative or the applicable termination and refund remedy.
7. Verification and customer-facing AI
The Customer must verify important facts, citations, calculations, classifications, recommendations, and external actions. Source links may be incomplete, unavailable, outdated, or incorrectly interpreted.
- Where AI communicates with employees, customers, or other people, the Customer is responsible for required AI, identity, and branding disclosures.
- The Customer is responsible for consent, opt-out, human escalation, accessibility, record retention, consumer protection, and non-misleading communications.
- The high-impact restrictions in the Acceptable Use Policy apply; an Order cannot override a legal prohibition.
8. AI warranty remedy
A single imperfect Output is not automatically a Service defect. Material non-conformity may exist where Nightvault systems charged but did not perform an operation, processed Input materially contrary to documented instructions, materially failed a promised control, applied the wrong Workspace entitlement, materially miscounted usage, or systematically failed to perform the documented function.
